You agree to indemnify and hold harmless Cutisight, its officers, directors, employees, agents, licensors, and suppliers from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees and costs) arising out of or relating to your use of the Site or Services in violation of these Terms of Use, your violation of any applicable law, or your misrepresentation of your professional status.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NEITHER CUTISIGHT NOR ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SUPPLIERS SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, EVEN IF CUTISIGHT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CUTISIGHT'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS RELATING TO OR ARISING OUT OF THE SITE OR SERVICES EXCEED THE AMOUNT PAID BY YOU, IF ANY, TO CUTISIGHT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

You acknowledge that the use of the Services involves inherent risks, including but not limited to potential inaccuracies in AI analysis, reliance on incomplete patient information, and the possibility of diagnostic errors or omissions. You voluntarily assume all risks associated with your use of the Services.

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU HEREBY WAIVE ANY AND ALL CLAIMS, CAUSES OF ACTION, OR DAMAGES AGAINST CUTISIGHT ARISING FROM YOUR USE OF THE SERVICES, INCLUDING BUT NOT LIMITED TO CLAIMS RELATED TO DIAGNOSTIC ACCURACY, TREATMENT RECOMMENDATIONS, PATIENT OUTCOMES, OR ANY OTHER MEDICAL OR PROFESSIONAL MATTER.

This waiver applies to all claims whether known or unknown at the time of signing and to the extent permitted by law.

THE SITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESSED OR IMPLIED. CUTISIGHT DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND THOSE ARISING FROM A COURSE OF DEALING OR USAGE OF TRADE.

Cutisight does not warrant that the Site will be uninterrupted, error-free, secure, or meet your specific requirements. Cutisight does not warrant the accuracy, completeness, quality, or reliability of any information provided through the Services.

Cutisight explicitly disclaims all warranties regarding the accuracy, completeness, or reliability of AI-generated analysis or recommendations. The Services are not warranted to be suitable for any particular medical purpose or patient population.

You agree to indemnify, defend with counsel reasonably acceptable to Cutisight, and hold harmless Cutisight, its parent, subsidiary, and affiliate companies, and the officers, directors, agents, and employees of the foregoing from any and all third-party claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to (a) your access to or use of the Site or Services, (b) your violation of these Terms of Use, (c) your violation of any applicable laws or regulations, (d) medical decisions or patient outcomes resulting from your use of the Services, or (e) your infringement of any intellectual property or other rights of any person or entity.

These Terms of Use shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. You agree that any action or proceeding arising out of or relating to these Terms of Use or the Site shall be brought exclusively in the courts located in New Delhi, India, and you hereby irrevocably consent to the jurisdiction and venue of such courts.

Any dispute arising out of or relating to these Terms of Use or the Site shall be resolved exclusively through binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 (India). The arbitration shall be conducted by a single arbitrator and the seat of arbitration shall be New Delhi, India.

NOTWITHSTANDING THE FOREGOING, EITHER PARTY MAY SEEK EQUITABLE RELIEF (INCLUDING INJUNCTIVE RELIEF) FROM A COURT OF COMPETENT JURISDICTION TO PREVENT THE INFRINGEMENT OF INTELLECTUAL PROPERTY RIGHTS OR OTHER IRREPARABLE HARM.

If any provision of these Terms of Use is held to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if such modification is not possible, such provision shall be severed, and the remaining provisions shall continue in full force and effect.
